Candidate Qualification Compliance

Note: Each director who has met the following conditions within two years prior to election and during the term of office shall be marked with “●” under the corresponding criteria code.

1. Not an employee of the company or any of its affiliates.
2. Not a director or supervisor of the company or any of its affiliates (except in the case of being an independent director of the company, its parent company, or a subsidiary in which the company directly or indirectly holds more than 50% of the voting shares).
3. Neither the person, their spouse, nor minor children, nor any shares held under another person’s name, shall hold 1% or more of the total outstanding shares of the company or rank among the top ten individual shareholders.
4. Not the spouse, relative within the second degree of kinship, or direct relative within the third degree of kinship of any person listed in the preceding items.
5. Not a director, supervisor, or employee of any corporate shareholder directly holding more than 5% of the company’s total outstanding shares, or of any corporate shareholder ranking among the top five shareholders.
6. Not a director (council member), supervisor, manager, or shareholder holding 5% or more of any specific company or institution having financial or business dealings with the company.
7. Not a professional individual, sole proprietor, partner, owner, director (council member), supervisor, manager, or spouse thereof, who provides business, legal, financial, accounting, or consulting services to the company or its affiliates. However, members of the Compensation Committee performing their duties in accordance with Article 7 of the “Regulations Governing the Establishment and Exercise of Powers of Compensation Committees by Companies Whose Stock is Listed on the Stock Exchange or Traded Over the Counter” are not subject to this restriction.
8. Not related to any other director as a spouse or within the second degree of kinship.
9. Not subject to any circumstances listed under Article 30 of the Company Act.
10. Not elected under Article 27 of the Company Act as a government agency, legal entity, or their representative.
