Corporate Governance Concurrent Unit

The Company has established a Corporate Governance Concurrent Unit under the General Administration Division and appointed Vice President Cheng-tien Hsu to oversee its operations. He has more than 10 years of experience in financial and managerial work for public companies.

The Corporate Governance Officer mainly performs the following duties:

1. Handle matters related to the meetings of the Board of Directors and the Shareholders’ Meetings in accordance with the law.
2. Prepare the minutes of the Board of Directors and the Shareholders’ Meetings.
3. Assist directors in assuming office and continuing education.
4. Provide directors with the information required for performing their duties.
5. Assist directors in complying with laws and regulations.
6. Other matters stipulated in the Articles of Incorporation or contracts.

The main business execution in 2024 is as follows:

1. Handle company registration and change registration.
2. Handle matters related to the Board of Directors, functional committees, and Shareholders’ Meetings.
3. Assist directors, functional committees, and Shareholders’ Meetings minutes and continuing education.
4. Register the date of the Shareholders’ Meeting within the statutory period, prepare and submit the meeting notice, agenda handbook, and meeting minutes before the deadline.
5. Assist directors in complying with laws and regulations.
6. Maintain investor relations, communicate with major shareholders and institutional investors, and hold six investor conferences in 2024.
