Commitment and Organization
To prevent conflicts of interest or acts of dishonesty, our company promotes a corporate culture of honest business practices, establishes sound business operation models and risk control mechanisms, and creates a sustainable business environment. In addition to having clearly defined relevant reporting channels and measures to protect whistleblowers, we have also established the following guidelines to continuously implement and promote our honest business practice plan.
Part-time unit
Edison Optoelectronics firmly believes that a company's value and sustainable operation are founded on the foundation of integrity in business. To strengthen its integrity management, the company has established a "General Management Office" as a part-time unit responsible for promoting integrity in business. This office is responsible for formulating and supervising the implementation of integrity policies and preventative measures, providing appropriate communication channels, requiring all employees in each factory to sign an "Integrity Commitment," and reporting to the board of directors quarterly. The aim is to establish a corporate culture of integrity and improve the management of integrity in business.
Mechanism and Operation
Education, training and performance
The Company has established a Code of Conduct for Honest Operations, which was approved by the Board of Directors on March 6, 2017. To implement these measures, the Company established the "Code of Ethical Conduct for Directors, Managers and Appointees" (most recently revised by the Board of Directors on August 4, 2020, and approved by the Shareholders' Meeting on July 15, 2021) and the "Code of Ethics for Employees" in 2014. As the Code of Conduct for Honest Operations covers legal, financial, and cybersecurity aspects, the Company held 43 related courses in 2024, with 1,309 employees participating in internal and external training programs. Department heads also took responsibility for conducting anti-corruption awareness campaigns within their departments to instill correct values in employees. As a result of these effective campaigns, no violations of the Code of Conduct for Honest Operations have occurred to date.

Implementation status and direction
Promote the concept of honest business practices
"Integrity and Honesty" is one of the core values of Edison Optoelectronics' corporate culture. Through its official website, the company expresses its commitment to sustainable development, adherence to the principle of honest operation, and dedication to ensuring fairness, justice, and integrity in its business practices. It complies with government regulations and will never tolerate any form of bribery, fraud, coercion, improper benefits, or other illegal activities. A confidential and secure reporting and complaint channel is also provided.
Honest business practices – business cooperation
When conducting business cooperation transactions, the legitimacy and integrity of potential partners should be assessed. Transactions with partners involved in dishonest conduct should be avoided. If a partner violates policy, business dealings should be immediately terminated, and the partner should be blacklisted. Suppliers are required to sign an "Integrity Acknowledgment Letter" to comply with business ethics standards. The audit department will audit the signing status quarterly, and the results will be reported to the chairman and management. Contracts may be terminated or dissolved at any time in cases of dishonest conduct or breach of contract.
Professional Ethics – Directors, Managers, Appointees and Employees
Since 2014, we have established the "Code of Ethics for Directors, Managers and Appointees" and the "Employee Code of Ethics," which all directors, supervisors, managers, appointees, and employees of the Group must adhere to upon assuming office. All current and new employees are required to carefully read the "Employee Code of Ethics" and sign an "Integrity Acknowledgment," and are encouraged to remain vigilant against any violations of ethical standards. They are responsible for reporting any questionable or discovered violations to their supervisors. We require all employees to strictly adhere to these guidelines to ensure the interests of Edison Optoelectronics and all stakeholders. The signing rate for employees of the Company and its subsidiaries is expected to reach 100% by 2024.
Violation of honest business practices
The Company has established a "Code of Ethical Conduct for Directors, Managers and Appointees" and a "Code of Professional Ethics for Employees" as guidelines for directors, managers and employees to follow. Any breach of integrity will be handled in accordance with the Company's "Regulations for Reporting Fraud and Violations of the Code of Conduct." According to statistics, in 2024, the Company and its subsidiaries received 0 reports (0 in 2023), and 0 cases were investigated and found to be substantiated (0 in 2023).
Training on Integrity Management
We will continue to provide regular courses on corporate governance and insider conduct for directors and supervisors, and plan to hold related employee education and training activities to deepen and establish the concept of honest business practices.
Reporting system
Our company has established a "Fraud and Violation of Code of Conduct Reporting Procedure," which applies to all our subsidiaries. All business activities of our company and its subsidiaries must prioritize sustainable development, ensure corporate ethics, comply with government regulations, and ensure that all employees refrain from any form of unfair business practice. We strictly prohibit any form of bribery, improper benefits, fraud, coercion, or other illegal activities, and strive to avoid potential conflicts of interest in order to build long-term partnerships.
The "Fraud and Violation of Code of Conduct Reporting Procedure" includes a whistleblower protection system. If you discover that any employee of our group or any person representing our company has engaged in illegal activities during a transaction, please notify us using the contact information below.
