Information for election of directors (Including Independent Directors)
According to Edison Opto's Articles of Incorporation, the Board of Directors shall consist of seven to eleven directors, each serving a three-year term. The election of directors adopts the cumulative voting method with registered ballots, where each share carries a number of votes equal to the number of directors to be elected. Shareholders may concentrate all votes on one candidate or allocate votes to multiple candidates. Those receiving the most votes shall be elected as directors. Among them, the number of independent directors shall not be fewer than two and shall not be less than one-fifth of the total number of directors. The election of independent directors follows a candidate nomination system, with shareholders electing from the list of nominated candidates.
In the announcement of the shareholders’ meeting, Edison Opto specified the procedures for the nomination and election of directors and independent directors. Shareholders holding 1% or more of the total issued shares of the Company may submit shareholder meeting proposals and a list of director candidates in writing. For the nomination of independent directors, the submission must include the nominee’s name, education, experience, a signed consent to serve if elected, a declaration of non-applicability of Article 30 of the Company Act, and other supporting documents. These documents must be delivered or mailed to the Company (Address: 17F, No. 17, Qiaohe Rd., Zhonghe Dist., New Taipei City) during the nomination acceptance period (April 16, 2022 to April 25, 2022).
The candidates for independent directors of this term were reviewed and approved by the Board of Directors on May 5, 2022. During the nomination acceptance period, all required documents were submitted to Edison Opto. After the nomination period, the Board of Directors reviewed the list of candidates, evaluated their qualifications in accordance with Article 192-1 of the Company Act, the Securities and Exchange Act, and the “Regulations Governing the Appointment and Compliance Requirements for Independent Directors of Public Companies.” The qualified candidates were then submitted to the shareholders’ meeting for election.
Edison Opto's eighth-term directors (including independent directors) were fully re-elected at the shareholders’ meeting held on June 22, 2022. The results of the election of the eighth-term directors (including independent directors) are as follows:
